1. Service Description

Osarizawa (“we,” “us,” or “our”) provides the software-as-a-service platform operated under the name osarizawa.com (the “Service”), together with any related websites, applications, application programming interfaces, support services, documentation, and updates. These Terms of Service (“Terms,” “Agreement,” or “Terms and Conditions”) govern your access to and use of the Service, whether you are a registered subscriber, trial user, authorized representative of an organization, or visitor. By creating an account, clicking “I agree,” or otherwise using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy and Cookie Policy. If you do not agree, you must immediately cease using the Service.

Subject to your ongoing compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service solely for your internal business or personal purposes and in accordance with the subscription plan, usage limits, and documentation that you select. We reserve all rights not expressly granted to you. The Service is provided on an “as available” and “as is” basis, and we do not guarantee that the Service will be uninterrupted, error-free, secure, or compatible with every device, browser, or third-party integration.

Certain features may be offered on a trial, beta, or evaluation basis. Beta features are provided for testing purposes only and may contain bugs, errors, or inaccuracies. We may suspend, modify, or discontinue any feature, plan, or functionality at any time without liability. Your continued use of the Service after any changes are posted constitutes acceptance of those changes.

2. User Accounts

To access most features of the Service, you must register for an account and provide accurate, current, and complete information. You agree to keep your account information up to date and to maintain the confidentiality of your login credentials, including any passwords, API keys, or tokens. You are fully responsible for all activities that occur under your account, whether or not authorized by you, and you must notify us immediately of any unauthorized access or suspected breach of security. We reserve the right to suspend or terminate accounts that appear to be compromised or used in violation of these Terms.

You may not create an account on behalf of another person or entity unless you are authorized to do so, nor may you share your account credentials with any third party. If you are using the Service on behalf of a company, organization, or other entity, you represent and warrant that you have the authority to bind that entity to these Terms, and you agree that the entity shall be responsible for any breach by you or your authorized users. You may create separate user accounts for employees or agents only to the extent permitted by your subscription plan.

The Service is not directed to children under 13 years of age, and we do not knowingly collect personal information from children under 13 in violation of the Children’s Online Privacy Protection Act, 15 U.S.C. §§ 6501–6506, and the COPPA Rule as amended effective June 2025 (16 C.F.R. Part 312, 2025 amendments). By creating an account, you represent and warrant that you are at least 18 years old, or that you are at least 13 years old and have obtained verifiable parental consent where required. If you are under 13, you must not use or access the Service.

3. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in compliance with all applicable federal, state, and local laws, regulations, and ordinances. This includes, but is not limited to, the Federal Trade Commission Act § 5, 15 U.S.C. § 45 (prohibiting unfair or deceptive acts or practices), the Restore Online Shoppers’ Confidence Act, 15 U.S.C. §§ 8401–8405 (ROSCA), and all applicable state comprehensive privacy laws. You must use the Service in a manner consistent with our published documentation and may not use the Service in any way that could damage, disable, overburden, impair, or interfere with our servers, networks, or other users’ use of the Service.

You are responsible for obtaining all necessary consents, authorizations, and rights for any data, content, or personal information that you upload, process, or transmit through the Service. If you process protected health information, you must enter into a separate business associate agreement under the Health Insurance Portability and Accountability Act (HIPAA) where applicable. If you are a financial institution subject to the Gramm-Leach-Bliley Act, 15 U.S.C. §§ 6801–6809 (GLBA), you are responsible for ensuring that your use of the Service complies with GLBA’s privacy and safeguards requirements.

Our use of cookies, analytics, and similar technologies is described in our Cookie Policy. Depending on your state of residence, you may have the right to opt out of the sale or sharing of personal information, including through the Global Privacy Control, as provided under the California Consumer Privacy Act as amended by the California Privacy Rights Act (Cal. Civ. Code § 1798.100 et seq.), the Virginia Consumer Data Protection Act (Va. Code § 59.1-575 et seq.), the Colorado Privacy Act (C.R.S. § 6-1-1300 et seq.), the Connecticut Data Privacy Act (Conn. Gen. Stat. § 42-515 et seq.), the Utah Consumer Privacy Act (Utah Code § 13-11-101 et seq.), and other applicable state comprehensive privacy laws.

4. Prohibited Activities

You may not, directly or indirectly, use or attempt to use the Service to engage in any activity that is illegal, fraudulent, defamatory, obscene, harassing, discriminatory, or otherwise objectionable. You may not upload, transmit, store, or process any content that infringes or misappropriates any intellectual property right, privacy right, publicity right, or other proprietary right of any party. You may not use the Service to send unsolicited commercial email, spam, phishing messages, malware, viruses, worms, Trojan horses, ransomware, or any other harmful or disruptive code.

Without limiting the foregoing, you expressly agree not to:

  • Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code or underlying structure of the Service, except to the extent expressly permitted by applicable law;
  • Use any robot, spider, scraper, crawler, or other automated means to access, monitor, copy, or extract data from the Service without our prior written consent;
  • Circumvent, disable, or interfere with any security-related features, access controls, rate limits, usage quotas, or technical restrictions of the Service;
  • Resell, sublicense, rent, lease, loan, distribute, or commercially exploit the Service except as expressly authorized under your subscription plan;
  • Impersonate any person or entity, misrepresent your affiliation with any person or entity, or create accounts by automated means or under false pretenses;
  • Collect, harvest, or store personal information about other users or third parties without their express consent or in violation of applicable privacy laws, including COPPA; or
  • Use the Service in any manner that violates the Electronic Communications Privacy Act, 18 U.S.C. § 2511, state wiretapping or computer-crime statutes, or session-replay litigation standards.

We reserve the right, but not the obligation, to investigate and take appropriate legal action against anyone who, in our sole discretion, violates this Acceptable Use Policy. Such action may include removing content, suspending or terminating accounts, reporting conduct to law enforcement, and cooperating fully with any governmental investigation.

5. Content Ownership

All right, title, and interest in and to the Service, including but not limited to software, source code, object code, algorithms, user interfaces, designs, graphics, logos, trademarks, service marks, trade dress, text, images, videos, documentation, databases, and all related intellectual property rights, are and shall remain the exclusive property of Osarizawa or its licensors. Nothing in these Terms shall be construed as granting you any ownership interest, license, or right to use any of our trademarks, service marks, or logos except as expressly authorized.

You retain all ownership rights in any content, data, or materials that you submit, upload, or otherwise make available through the Service (“Your Content”), subject to the license grant set forth in Section 6. We claim no ownership over Your Content except for the limited rights necessary to operate, maintain, and improve the Service. You represent and warrant that you have all necessary rights to Your Content and that its use through the Service will not violate any law or infringe any third-party rights.

If you provide us with any suggestions, ideas, enhancement requests, recommendations, feedback, or other information about the Service (“Feedback”), you hereby grant us a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, sublicensable, transferable license to use, reproduce, modify, distribute, display, perform, and otherwise exploit such Feedback for any purpose without compensation or attribution to you. Feedback is non-confidential and non-proprietary.

6. User-Generated Content

The Service may allow you to post, upload, share, or otherwise submit User-Generated Content, including comments, files, integrations, or public-facing materials. You retain any ownership rights you hold in your User-Generated Content, but by submitting it you grant Osarizawa a broad, worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, display, and store your User-Generated Content solely for the purposes of operating, providing, promoting, and improving the Service and enforcing these Terms.

You represent and warrant that your User-Generated Content does not violate any applicable law, contractual obligation, or third-party right, including intellectual property, privacy, and publicity rights. You agree that your User-Generated Content is not confidential, and that you have no expectation of privacy in any communications you send to us. We are under no obligation to host, display, or distribute any User-Generated Content, and we may refuse, remove, or disable access to any User-Generated Content at any time for any reason or no reason, without notice or liability.

In accordance with the Digital Millennium Copyright Act and applicable law, we have adopted a policy of terminating, in appropriate circumstances and at our sole discretion, the accounts of users who are repeat infringers. If you believe that any content on the Service infringes your copyright, please send a written notice to [email protected] containing the information required by 17 U.S.C. § 512(c)(3). You may be liable for damages if you materially misrepresent that content is infringing.

7. Payment Terms

Certain features of the Service require payment of fees, which are described on our pricing page, order form, or invoice. By selecting a paid subscription or other paid feature, you agree to pay all applicable fees and taxes in the currency and manner specified. You authorize us and our payment processors to charge your selected payment method for all amounts due. Fees are non-refundable except as expressly provided in these Terms or required by applicable law, including the Uniform Commercial Code (UCC) Article 2 as adopted by the states.

If you purchase a subscription, your subscription will automatically renew for successive periods equal to the initial term unless you cancel before the renewal date. We will charge the applicable renewal fees using the payment method on file. For any free trial, you must cancel before the trial ends to avoid being charged. In compliance with the Restore Online Shoppers’ Confidence Act, 15 U.S.C. §§ 8401–8405 (ROSCA), we will clearly disclose all material terms of any trial offer, recurring charge, or negative-option feature before obtaining your billing information and will obtain your express informed consent before charging you.

You are responsible for all applicable sales, use, value-added, goods and services, withholding, and other taxes, duties, or governmental charges, except for taxes based on our net income. If any payment is not received or is charged back, we may suspend or terminate your access to paid features. We may change our fees upon notice to you; fee changes will take effect at the next renewal term. If you dispute any charge, you must notify us in writing within thirty (30) days of the charge date. To the extent the Uniform Computer Information Transactions Act (UCITA, adopted only in Maryland, Virginia, and Louisiana) applies, its provisions are incorporated only to the extent they do not conflict with these Terms.

8. Service Modifications

We reserve the right to modify, suspend, or discontinue, temporarily or permanently, the Service or any part thereof, with or without notice and without liability to you or any third party. We may also update, enhance, or remove features, functionality, or content from time to time. We will use commercially reasonable efforts to provide advance notice of material changes that materially reduce the core functionality available to paying subscribers, but we are not obligated to maintain, support, repair, correct, or update any particular feature.

From time to time, we may release features designated as “alpha,” “beta,” “preview,” “early access,” or similar. These features are experimental, may not be fully functional, and may contain errors. Your use of beta features is at your own risk, and we may discontinue beta features at any time without notice. Beta features are provided “as is” without any warranty, indemnity, or support obligation, unless we expressly agree otherwise in writing.

We may also update these Terms from time to time to reflect changes in law, technology, or our business practices. If we make a material change, we will notify you by email, through the Service, or by posting an updated version with a revised “Last Updated” date. Your continued use of the Service after the effective date of any revised Terms constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Service and cancel your account.

9. Limitation of Liability

To the fullest extent permitted by applicable law, Osarizawa, its affiliates, officers, directors, employees, agents, licensors, and suppliers shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to damages for loss of profits, revenue, data, goodwill, use, or other intangible losses, arising out of or relating to your access to, use of, or inability to use the Service, even if we have been advised of the possibility of such damages.

Our total cumulative liability to you for any and all claims arising out of or relating to these Terms or the Service, whether in contract, tort (including negligence), strict liability, or any other theory, shall not exceed the greater of (a) the amount you actually paid to us for the Service during the twelve (12) months immediately preceding the event giving rise to liability, or (b) one hundred United States dollars (US$100). The limitations set forth in this Section shall apply regardless of whether the remedy fails of its essential purpose. Nothing in these Terms shall limit or exclude liability for gross negligence, willful misconduct, fraud, or any other liability that cannot be excluded or limited under applicable law.

The Service is provided “as is” and “as available” without any warranties of any kind, whether express, implied, statutory, or otherwise, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, quiet enjoyment, accuracy, non-infringement, and any warranties arising out of course of dealing, usage, or trade. We do not warrant that the Service will meet your requirements, be error-free, virus-free, secure, uninterrupted, or available at any particular time or location. Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages, so some of the above exclusions may not apply to you.

10. Termination

Either party may terminate these Terms and your account at any time, with or without cause, by providing notice in accordance with these Terms. You may terminate your account by following the cancellation procedures in your account settings or by contacting us at [email protected]. We may suspend or terminate your access to the Service immediately, without prior notice or liability, if you breach these Terms, engage in fraudulent or illegal activity, or create risk or possible legal exposure for us.

Upon termination, all licenses and rights granted to you under these Terms will immediately cease, and you must promptly discontinue all use of the Service and destroy any copies of documentation or materials obtained from the Service. Sections that by their nature should survive termination shall survive, including but not limited to Sections 5, 6, 7, 9, and 11, as well as any accrued payment obligations. We are not obligated to retain Your Content after termination and may delete it in accordance with our data retention practices and applicable law.

If we terminate your account due to your breach of these Terms, you will not be entitled to any refund of fees already paid. If you terminate your paid subscription, you will continue to have access to paid features through the end of your then-current billing period, unless otherwise stated. Termination does not relieve you of any liability or obligation that accrued prior to termination, including any unpaid fees.
