Refund Policy
Last Updated: September 2026
1. Introduction and Purpose
This Refund Policy (“Policy”) governs all requests for refunds, credits, charge reversals, and billing adjustments relating to products, services, subscriptions, software licenses, and other offerings (collectively, “Services”) provided by Osarizawa (“we,” “us,” “our,” or the “Company”) through the osarizawa.com website and platform (the “Site”). This Policy is incorporated by reference into our Terms of Service, Privacy Policy, and any other written agreement between you and the Company.
The purpose of this Policy is to establish clear, predictable, and legally enforceable rules regarding when refunds may be granted, the process for requesting them, and the circumstances under which all fees and charges are final and non-refundable. By creating an account, subscribing to a plan, making a payment, or otherwise using the Services, you acknowledge that you have read, understood, and agree to be bound by this Policy.
2. Scope and Applicability
This Policy applies to all current and former users, customers, subscribers, authorized account holders, and any person or entity that pays for or uses the Services, including but not limited to:
- Monthly, annual, and multi-year subscription plans;
- One-time software licenses, activation fees, and setup fees;
- Add-on features, premium modules, API usage, and overage charges;
- Professional services, implementation services, training, consulting, and custom development;
- Third-party integrations, marketplace purchases, and pass-through fees; and
- Any other product or service offered through osarizawa.com.
This Policy does not limit or waive any statutory right that cannot be disclaimed under applicable law. However, except where expressly required by law, all purchases are final and refunds are provided solely at our discretion and in accordance with the terms set forth below.
3. Definitions
For purposes of this Policy, the following terms have the meanings set forth below:
- “Account” means the registered user account through which you access the Services.
- “Billing Cycle” means the recurring period for which subscription fees are charged, such as monthly or annually.
- “Cancellation Date” means the date on which you complete the cancellation process described in Section 4.2.
- “Effective Date” means the first date on which you are granted access to the Services following payment or activation.
- “Free Trial” means a limited period during which the Services may be accessed without charge, subject to conversion to a paid subscription unless cancelled.
- “Non-Refundable Fees” means all fees identified in Section 5.4 that are not eligible for refund under any circumstances.
- “Payment Method” means the credit card, debit card, bank account, digital wallet, or other payment mechanism on file with us.
- “Subscription Fees” means recurring fees charged for ongoing access to the Services.
4. General Refund Philosophy
4.1 Nature of SaaS Services
osarizawa.com provides cloud-based software-as-a-service (“SaaS”) solutions. Because the Services are delivered electronically and consumed immediately upon account activation, and because you retain the ability to evaluate features through Free Trials, demos, or publicly available descriptions prior to purchase, all fees are generally final and non-refundable. We do not offer refunds based on buyer’s remorse, changes in business needs, lack of use, dissatisfaction unrelated to a material breach by the Company, or failure to cancel a subscription before the next Billing Cycle.
4.2 No Cooling-Off Period for Digital Services
You acknowledge and agree that the Services constitute digital content supplied on a non-tangible medium and that, once access is granted, performance has begun with your prior express consent. Accordingly, any statutory cooling-off or right-of-cancellation period that may apply to physical goods or offline services does not apply to your purchase, except where expressly required by the law of your state of residence and not otherwise waivable.
5. Refund Eligibility and Conditions
5.1 Subscription Refunds
Unless otherwise required by applicable law or expressly set forth in a separate written agreement signed by an authorized officer of the Company, subscription refunds are governed as follows:
- Monthly Subscriptions: All monthly Subscription Fees are final and non-refundable. If you cancel a monthly subscription, you will continue to have access to the Services through the end of the current Billing Cycle and will not be charged for subsequent Billing Cycles.
- Annual and Multi-Year Subscriptions: For annual or multi-year plans, you may request a refund within fourteen (14) calendar days of the Effective Date or renewal date, provided that you have not materially violated our Terms of Service, exceeded usage limits, or received customized deliverables. After the fourteen-day period, all annual and multi-year Subscription Fees are non-refundable.
- Renewals: Renewal charges are non-refundable. It is your sole responsibility to cancel your subscription before the renewal date if you do not wish to be charged.
- Downgrades: Downgrading your subscription plan does not entitle you to a refund of previously paid fees. Downgrades typically take effect at the start of the next Billing Cycle.
5.2 Free Trials and Promotional Offers
Free Trials automatically convert to paid subscriptions at the end of the trial period unless you cancel before conversion. You must provide a valid Payment Method to start a Free Trial. We may charge a nominal authorization hold or verification charge, which will be reversed and is not refundable because it is not a final charge. Promotional discounts, coupon codes, and introductory pricing apply only to the initial term and renew at the then-current standard rate unless expressly stated otherwise.
5.3 One-Time Purchases and Add-Ons
Fees for one-time purchases, including but not limited to activation fees, setup fees, implementation packages, onboarding sessions, report templates, data migration services, training courses, certification exams, and premium support packages, are final and non-refundable once delivery has commenced or access has been granted.
5.4 Non-Refundable Fees
Without limiting the foregoing, the following fees and charges are non-refundable under all circumstances:
- Fees for any Billing Cycle that has already begun or concluded;
- Setup, onboarding, implementation, migration, integration, and professional services fees;
- Custom development, configuration, or consulting services performed or commenced;
- Charges for API calls, bandwidth, storage, or other metered usage that has been consumed;
- Third-party fees, taxes, governmental charges, and payment processor fees;
- Gift cards, account credits, and promotional balances;
- Any amounts paid after a material breach of our Terms of Service by you; and
- Any fees subject to a chargeback, dispute, or payment reversal initiated in violation of this Policy.
5.5 Billing Errors and Unauthorized Charges
If you believe you were incorrectly charged, including duplicate charges, arithmetic errors, or charges resulting from unauthorized use of your Payment Method, you must notify us within thirty (30) calendar days of the charge date. We will investigate in good faith and, if we determine that an error occurred, will issue a correction or refund of the erroneous amount to the original Payment Method. Failure to report a disputed charge within thirty (30) days constitutes a waiver of your right to dispute that charge, except where prohibited by law.
6. Cancellation Process
6.1 How to Cancel
You may cancel your subscription at any time by logging into your Account, navigating to the billing or subscription settings, and following the cancellation instructions. If you are unable to cancel through the Site, you may submit a written cancellation request to [email protected]. Cancellation requests must include the email address associated with your Account and sufficient information to verify your identity.
6.2 Effective Date of Cancellation
Cancellations become effective at the end of the current prepaid Billing Cycle. Until that date, you will continue to have access to the Services and remain responsible for all applicable fees. We do not provide partial refunds or prorated credits for unused days within a Billing Cycle, except as expressly set forth in this Policy or required by law.
6.3 Account Data Following Cancellation
Upon cancellation, your access to the Services will be suspended or terminated in accordance with our Terms of Service. It is your responsibility to export or back up your data prior to cancellation. We are not liable for any loss of data following cancellation, except to the extent caused by our gross negligence or willful misconduct.
7. Refund Request Procedure
7.1 Submission Requirements
To request a refund under this Policy, you must submit a written request to [email protected] within the applicable eligibility window. Your request must include:
- Your full name, Account email address, and billing address;
- The date and amount of the charge for which a refund is sought;
- The reason for the refund request; and
- Any supporting documentation, such as screenshots, receipts, or correspondence.
7.2 Review and Decision
We will review refund requests within a reasonable time and will notify you of our decision by email. All decisions are final and made in our sole discretion, except as otherwise required by law. If approved, refunds will generally be issued to the original Payment Method within ten (10) to fourteen (14) business days, depending on the payment processor and financial institution.
7.3 Refund Form
Refunds will be issued in the same form as the original payment unless otherwise agreed in writing. We are not responsible for delays in refund posting caused by third-party payment processors, banks, or card issuers. We reserve the right to issue account credits in lieu of monetary refunds at our discretion.
8. Chargebacks and Payment Disputes
8.1 Prohibition on Improper Chargebacks
You agree not to initiate a chargeback, payment dispute, or bank reversal with your Payment Method issuer for any charge that is not the result of fraud or an unauthorized transaction, unless you have first complied with the dispute procedures in this Policy and we have failed to resolve the dispute within a reasonable time. Initiating a chargeback in violation of this Section may result in:
- Immediate suspension or termination of your Account;
- Loss of eligibility for future refunds or credits;
- Collection efforts for the disputed amount plus applicable fees, interest, and costs; and
- Reporting of the dispute to credit agencies, fraud databases, or law enforcement.
8.2 Cooperation
If you believe a charge is unauthorized, you must promptly notify us at [email protected] and cooperate in any investigation, which may include providing affidavits, police reports, or other documentation requested by us, the payment processor, or law enforcement.
9. Taxes, Currency, and Third-Party Fees
All fees are quoted and charged in United States Dollars unless otherwise indicated. You are responsible for all applicable federal, state, local, sales, use, value-added, withholding, and other taxes, duties, or governmental charges associated with your purchase, other than taxes based on our net income. Refunds, if any, will be limited to the net amount received by us after deduction of taxes, payment processor fees, and other non-refundable charges.
10. Limitations, Exclusions, and Disclaimers
10.1 No Warranty Refunds
Except as expressly stated in our Terms of Service, the Services are provided on an “as is” and “as available” basis without warranties of any kind, whether express, implied, statutory, or otherwise. Service interruptions, downtime, bugs, feature changes, or limitations do not entitle you to a refund unless they constitute a material breach of a written service-level agreement signed by an authorized officer of the Company.
10.2 Limitation of Liability
To the maximum extent permitted by applicable law, our aggregate liability arising out of or relating to any refund request, billing dispute, or use of the Services shall not exceed the total amount paid by you to us in the twelve (12) months immediately preceding the event giving rise to liability. In no event shall we be liable for indirect, incidental, consequential, special, punitive, or exemplary damages, including lost profits, lost data, or business interruption.
10.3 Force Majeure
We are not responsible for delays or failures in performance resulting from causes beyond our reasonable control, including acts of God, war, terrorism, labor disputes, supply chain disruptions, internet outages, cyberattacks, government actions, or pandemics. Such events do not entitle you to a refund unless otherwise required by applicable law.
11. User Rights and Obligations
You agree to:
- Review all charges, plan terms, and renewal dates carefully before completing a purchase;
- Maintain accurate and current billing information in your Account;
- Cancel your subscription in a timely manner if you do not wish to renew;
- Contact us promptly regarding any billing errors or unauthorized charges;
- Refrain from initiating improper chargebacks or payment disputes; and
- Comply with all applicable terms of this Policy, our Terms of Service, and applicable law.
Failure to fulfill these obligations may result in forfeiture of refund rights, suspension or termination of your Account, and pursuit of all available legal remedies.
12. Data Protection and Security
Refund requests may require you to provide billing and identity verification information. We will process such information in accordance with our Privacy Policy and applicable data protection laws. We implement reasonable administrative, technical, and physical safeguards to protect payment information; however, you are responsible for maintaining the confidentiality of your Account credentials and for any charges incurred through unauthorized access resulting from your failure to do so.
13. Changes to This Policy
We reserve the right to modify, amend, or replace this Policy at any time in our sole discretion. If we make material changes, we will post the updated Policy on the Site and update the “Last Updated” date. Your continued use of the Services after the effective date of any revised Policy constitutes your acceptance of the revised terms. If you do not agree to the revised Policy, you must stop using the Services and cancel your subscription in accordance with Section 6. Refund requests will be evaluated under the Policy in effect at the time of the relevant charge, unless a subsequent Policy expressly provides more favorable treatment.
14. Governing Law and Jurisdiction
This Policy shall be governed by and construed in accordance with the laws of the State of Delaware and the federal laws of the United States of America, without regard to conflict-of-law principles. Any dispute, controversy, or claim arising out of or relating to this Policy, including its formation, interpretation, breach, termination, or validity, shall be resolved exclusively in the state or federal courts located in Delaware, and you hereby consent to the personal jurisdiction and venue of such courts.
15. Severability and Waiver
If any provision of this Policy is held invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. No waiver of any provision shall be effective unless in writing signed by the waiving party. Our failure to enforce any right or provision shall not constitute a waiver of future enforcement.
16. Entire Agreement
This Policy, together with our Terms of Service, Privacy Policy, and any other written agreement between you and the Company, constitutes the entire agreement between you and us regarding refunds and billing disputes and supersedes all prior or contemporaneous agreements, representations, warranties, and understandings, whether written or oral.
